FLOYD COUNTY REPUBLICAN PARTY
OFFICIAL RULES AS OF COUNTY CONVENTION 2011
The Floyd County Republican Party shall function as a non-profit organization whose purpose shall be to develop, foster, advance, and perpetuate the principles of the Republican Party, conduct party business, conduct party election primaries in accordance with State of Georgia Election Codes, and to recruit, support and otherwise do all within its power to ensure the election of all Republican nominees for public office whose name appear on the general election and any special election or other regular election ballots in Floyd County.
RULES
Article I Party Membership and Participation
All legal and qualified voters residing within the County of Floyd (hereafter referred to as “County”), State of Georgia, who are in accord with the principles of the Republican Party, believe in its declaration of policy and are in sympathy with its aims and purposes, may participate in the activities of the Republican Party in said County and attend mass meeting and conventions pursuant to the rules of conduct thereof, held under the auspices the County Republican Party.
The Floyd County Republican Party Executive Committee shall establish membership fees and terms for membership in the Floyd County Republican Party. The Executive Committee shall also establish, in accordance with the Rules of the Floyd County Republican Party, rights and responsibilities of Party Members. Active Membership shall refer to members who are actively involved in party activities, attend party meetings and functions, and are in good standing with membership dues.
Article II Declaration and Definition of Committees and Boards
2.1 Committees
The Floyd County Republican Party shall have within it two (2) standing permanent committees, the Floyd County Republican Party County Committee, hereinafter referred to as the County Committee, and the Floyd County Republican Party Executive Committee, hereinafter referred to as the Executive Committee:

The membership of the County Committee shall consist of the following:
a. Chairman
b. Vice Chairman
c. Director of Fundraising
d. Director of Public Relations
e. Director of Membership
f. Director of Community Affairs
g. Director of Precinct Organization
h. Recording Secretary
i. Corresponding Secretary
j. Treasurer
k. Assistant Treasurer
l. Immediate Past County Chairman for two years after the expiration of his term (unless that chairman was removed or resigned)
m. Any officer or committee member of the National, State or District committee,
as long as they reside in Floyd County
n. All Republican state, county, and city elected office holders elected as
Republicans, residing in Floyd County. This includes both officials elected as Republicans and Republican Party members elected in non-partisan elections as long as they have been either a delegate or an alternate to the County Convention in the last four years and are a paid-up member of the Floyd County Republican Party
o. Ex-Officio Members
The following members shall be considered honorary members ex-officio of the County Committee (unless they have been elected to a County Committee office listed in Article II, Section 2, Subsections a-k, allowing their County Committee position to supersede their honorary member ex-officio status) and shall not have a vote and shall not be counted for quorum:
1. All federal elected office holders elected as Republicans residing in Floyd County
2. Allied Organizations
Allied Organizations are groups officially recognized by the Floyd County Republican Party for their activities. The Floyd County Republican Party has no authority over these organizations and does not assume any responsibilities or liability for their activities. To avoid conflict of interest and to be in compliance with campaign finance laws, Floyd County Republican Party County Committee officers shall not serve as chair or president of any allied organization.
- The President of the Floyd County Republican Women
- The Chairman of the Rome Young Republicans
c. The Chairman of the Berry College Republicans
d. The Chairman of the Georgia Highlands College Republicans
e. The Chairman of the Shorter College Republicans
f. Any organization that is associated with any allied organization listed in Article II, Section 2-C-2 of the Rules of the Georgia Republican Party.
2.3 Executive Committee Membership
The membership of the Executive Committee shall consist of the following:
a. County Committee Chairman
b. County Committee Vice Chairman
c. County Committee Director of Fundraising
d. County Committee Director of Public Relations
e. County Committee Director of Membership
f. County Committee Director of Community Affairs
g. County Committee Director of Precinct Organization
h. County Committee Recording Secretary
i. County Committee Corresponding Secretary
j. County Committee Treasurer
k. County Committee Assistant Treasurer
l. Immediate Past County Chairman, for two years after the expiration of his term unless that chairman was removed or resigned, who shall be considered an honorary member ex officio and shall not have a vote and shall not be counted for a quorum
Article III Duties of Committees and Officers
3.1 Duties of the County Committee
a. The County Committee is responsible for exercising county-wide jurisdiction and control over Floyd County Republican Party affairs, which powers may be in part delegated as provided in the State Republican Party Rules and these Rules.
b. The County Committee shall call Precinct Mass Meetings and Conventions in accordance State Rules.
c. The County Committee shall cooperate with the State Committee and the District Committee in conducting all elections and primaries within the boundaries of the County.
d. The County Committee shall decided all controversies within its jurisdiction with the right of appeal to the Eleventh Congressional District Committee.
e. At no time shall more than sixty (60) calendar days pass between legally constituted meetings of the County Executive Committee. At no more time shall more than three hundred sixty five (365) calendar days pass between legally called meetings of the County Committee.
f. The County Committee and Executive Committee shall not endorse nor act as a campaign committee for any candidate prior to the primary.
3.2 Duties of the Officers
a. County Chairman: The County Chairman shall be the Chief Executive Officer of the Floyd County Republican Party and shall perform the duties required by the Rules of the Georgia Republican Party, these Rules, the County Convention, the County Committee, and the Executive Committee. The County Chairman shall convene the County Committee and Executive Committee, and shall preside at such meetings. The County Chairman shall appoint all pre-convention committees with the approval of the Executive Committee. The County Chairman shall be responsible for the general direction of the Floyd County Republican Party, and shall preside at all monthly meetings and special events or programs.
b. Vice Chairman: The Vice Chairman, hereinafter referred to as the Vice, shall act in the absence of the County Chairman and shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. The Vice shall serve as Parliamentarian and he shall be responsible for providing a copy of the County Rules, District Rules, State Rules and Robert’s Rules of Order at all official meetings. The Vice shall also act as Program Director and shall be responsible for establishing and implementing a professional program for each monthly meeting of the Floyd County Republican Party. The Vice shall also work with the Director of Fundraising and Director of Membership in planning any special programs or events.
c. Director of Fundraising: The Director of Fundraising, hereinafter referred to as the DF, shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. The DF shall serve as the fundraising coordinator for the Floyd County Republican Party. The DF shall organize and oversee all County fund raising activities. The DF shall obtain adequate financing for the Floyd County Republican Party. The DF shall work with the Vice and Director of Membership if any fundraising activity calls for a special program or event.
d. Director of Public Relations: The DPR, hereinafter referred to as the DPR, shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. The DPR shall coordinate all media attention for the purpose of obtaining positive publicity for the party and Republican candidates. The DPR shall also be responsible for effective communication, as defined by the Executive Committee, of party activities and information among party members. The DPR shall provide to the Recording Secretary, for his records, a copy of the herein defined communications of party activities and information.
e. Director of Membership: The Director of Membership, hereinafter referred to as the DM, shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. The DM shall be responsible for maintaining the membership forms, membership list, and for the recruitment of new members. The DM shall provide to the Corresponding Secretary, for his records, a quarterly updated copy of the membership list. The DM shall also act as Special Program and Event Director and shall be responsible for establishing and implementing all special programs and events of the Floyd County Republican Party. The DM will be assisted by the Vice in implementing such special programs and events.
f. Director of Community Affairs: The Director of Community Affairs, hereinafter referred to as the DCA, shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. The DCA shall be responsible for reaching out to community organizations and interest groups to foster a working relationship with the Floyd County Republican Party. The DCA shall organize community projects of which the membership can participate. The DCA shall be responsible for communicating to the membership areas in which they can get involved in assisting local governments through citizen advisory councils and community organizations through government action councils. The DCA shall also be a liaison between the Floyd County Republican Party and all Allied Organizations mentioned in Article II, Section 2, Subsection o(2).
g. Director of Precinct Organization: The Director of Precinct Organization, hereinafter referred to as the DPO, shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. The DPO shall determine for the purpose of organizing the Precinct Mass Meeting and the County Convention, the number of delegates and alternates allotted to each precinct according to the Call and/or Rules of the Georgia Republican Party. The DPO shall determine for the purpose having representation from the County to the District and State Conventions, the number of delegates and alternates allotted to the County according to the Call and/or Rules of the Georgia Republican Party. The DPO shall organize the party at the precinct level for the purpose of electing Republicans and energizing the Republican base.
h. Recording Secretary: The Recording Secretary shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. The Recording Secretary shall be the custodian of all records that are property of the County Committee. The Recording Secretary shall record the minutes of every legally constituted meeting, monthly meeting, special event, and program, reading them at the following Executive Committee meeting for Committee approval.
i. Corresponding Secretary: The Corresponding Secretary shall maintain an inventory of all possessions of the Committee. The Corresponding Secretary shall give all notices required for meetings under these Rules. The Corresponding Secretary shall keep a roster of the names, addresses, email addresses, and phone numbers of all County Committee members. In the event that the Recording Secretary is absent from any meeting of the County Committee or Executive Committee, the Corresponding Secretary shall perform the duties of the Recording Secretary for that meeting.
j. Treasurer: The Treasurer shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. The Treasurer shall have the custody of and responsibility for the funds of the County Party, deposit said funds in a bank or banks to be selected by the Executive Committee, and draw against such in a manner prescribed by the Executive Committee. The Treasurer shall present at each meeting a financial report and shall provide a copy of the report to the Recording Secretary for his records. The Treasurer shall submit the books for audit at the completion of each term of office.
k. Assistant Treasurer: The Assistant Treasurer shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. In the absence of the Treasurer, the Assistant Treasurer shall present at each meeting a financial report.
l. At the completion of each term of office, each officer shall turn over all materials, data, correspondence, records, et cetera, to his successor.
3.3 Duties of the Executive Committee
a. The Executive Committee shall execute the duties assigned to it by the County Committee and report the results to the County Committee for consideration.
b. No member of the Executive Committee shall be a candidate in a contested primary election. Any member of the Executive Committee running in a contested primary shall resign his County Committee office immediately upon qualification for office by the second candidate in the primary. A primary is presumed to exist when two or more Republicans have qualified their candidacy for a particular office.
Article IV Elections of Committees and Officers
4.1 Qualifications
All candidates for positions of County Committee Offices mentioned in Article II, Section 2, Subsections a-k, , must meet the requirements of Article I and must have voted in at least one of the two immediate past Republican primary elections.
4.2 Precinct Committeemen
Each precinct shall be entitled to one delegate and one alternate to the County Convention and further it shall be entitled to one additional delegate for each 50 votes and major fraction thereof cast for the Republican nominee for President of the United States in the immediately preceding general election. At the Precinct Mass Meeting, each precinct shall elect the allotted number of delegates to the County Convention along with a Precinct Chairman and other officers it deems necessary. An Alternate Delegate shall be named for each Delegate, if possible.
4.3 County Committee Officers
The County Chairman, Vice, DF, DPR, DM, DCA, DPO, Recording Secretary, Corresponding Secretary, Treasurer, and Assistant Treasurer shall be elected at the County Convention held in accordance with procedures set forth in the Rules of the Georgia Republican Party as adopted by the most recent State Committee and in accordance with any amendments thereto that may be hereafter adopted. Voting shall be held by a paper ballot within a caucus of the precinct Delegates, where after the Precinct Chairman shall count and publicly announce to the County Convention Chairman the results of the voting. If a position is uncontested, the County Convention Chairman may ask for consent of the County Convention to declare the uncontested candidate the winner without holding an election for the office. All candidates must meet the qualifications set forth within these Rules.
4.4 Terms of Office
The officers of the County Committee shall serve in their posts for two years, until their successors are elected, or until they are removed by a 2/3 vote of a quorum present at a legally constituted meeting of the County Committee.
4.5 Legally Constituted Meetings
a. A legally constituted meeting of the County Committee must meet the following requirements:
1. A majority of the Committee must be present in person or by proxy.
2. At least seven (7) days prior written or electronic notice must have been provided to every officer and member of the Committee.
3. Said written or electronic notice must have been issued over the signature of the County Chairman or over the signatures of at least five (5) officers and/or members of the Committee.
4. Said written or electronic notice must contain, in the same envelope or attached to the electronic communication, a proper proxy form. No individuals may have more than two (2) proxies. All proxies shall be in the following form:

4.6 Vacancies on the County Committee
a. Within thirty (30) days upon the death, resignation, election to public office, or removal of the County Chairman, the Vice shall immediately call a legally constituted meeting of the County Committee, which meeting shall in open nomination by a majority vote elect a new County Chairman. The Vice acts as, and shall be, the County Chairman until a new County Chairman is elected.
b. All County Committee officer vacancies, created by death, resignation, election to public office, or removal, shall be filled within forty-five (45) days as prescribed in these Rules. In cases where the privilege of nomination is assigned to any officer or committee the County Committee may convene to elect the officer to fill the remainder of the unexpired term.
4.7 Removal of Officers or Committee Members
Any officer may be removed for cause in accordance with State Rules. “Cause” as used herein, shall include, but not be limited to, continued failure to perform their duties or participate in the affairs of the Party, or conduct detrimental to the best interest of the Party, all as may be determined by the aforesaid vote of the County Committee.
4.8 Procedure for Removal of Officers or Committee Members
Any officer or member of a County or Precinct Committee may be removed from office for cause by a 2/3 vote of a quorum present the County Committee. Removal may be for conduct detrimental to the Party as determined by the County Committee. A petition for removal may be presented to the County Committee upon signature of three (3) active members of the County Committee. Said petition shall contain the name of the person for whom removal is sought, the conduct alleged to be detrimental to the party, a request for hearing, a list of any witnesses to be brought before the County Committee at any subsequent hearing, and any other relevant information necessary for a full consideration of the petition. Upon receipt of the petition, the Chairman shall call a special meeting of the County Committee for consideration of the petition. Said meetings shall be held within fifteen (15) days of receipt of the petition. Said petition must be given to the person for whom removal is sought no less than ten (10) days prior to the hearing. The petitioners shall have first opportunity to present information in support of the petition. The person for whom removal is sought shall have full opportunity to present any relevant information in their defense. At the close of the presentation of information, and after full private deliberation, the County Committee shall take a vote on the petition. Upon 2/3 vote of a quorum present, the petition shall pass or fail. If the Committee votes in favor of the petition, the person for whom removal is sought shall be deemed immediately removed from office and said office shall be deemed vacant.
Article V General Rules
5.1 Rules of Order
Except as modified by these Rules or State Rules, all meetings of the Floyd County Republican Party, and Committees thereof, shall be conducted in accordance with the most recent addition of Robert’s Rules of Order. The Rules of the Georgia Republican Party shall control when in conflict with these Rules.
5.2 Amendments to these Rules
These Rules may be amended at any County Convention by a majority vote of those present, or by the County Committee itself by a two thirds (2/3) vote of a quorum present. If a Rule is sought to be amended by the County Committee, notice of such proposed rules change must be mailed at least twelve (12) days prior to the meeting of the County Committee to all members of the Committee setting forth the intention to amend such Rules and setting forth in detail the proposed amendment.
5.3 Effective Date
These Rules shall become effective upon their adoption. In accordance with Section 34-905 (C), Georgia Election Code which provides that the respective County Executive Committee of each political party shall file its Rules with the Judge of the Probate Court of the County.
This certifies that the forgoing Rules of the Floyd County Republican Party were adopted by the Convention of the Floyd County Republican Party on March 24, 2007, and last amended on March 12, 2011.

The DCA shall also be a liaison between the Floyd County Republican Party and all Allied Organizations mentioned in Article II, Section 2, Subsection o(2).
g. Director of Precinct Organization: The Director of Precinct Organization, hereinafter referred to as the DPO, shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. The DPO shall determine for the purpose of organizing the Precinct Mass Meeting and the County Convention, the number of delegates and alternates allotted to each precinct according to the Call and/or Rules of the Georgia Republican Party. The DPO shall determine for the purpose having representation from the County to the District and State Conventions, the number of delegates and alternates allotted to the County according to the Call and/or Rules of the Georgia Republican Party. The DPO shall organize the party at the precinct level for the purpose of electing Republicans and energizing the Republican base.
h. Recording Secretary: The Recording Secretary shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. The Recording Secretary shall be the custodian of all records that are property of the County Committee. The Recording Secretary shall record the minutes of every legally constituted meeting, monthly meeting, special event, and program, reading them at the following Executive Committee meeting for Committee approval.
i. Corresponding Secretary: The Corresponding Secretary shall maintain an inventory of all possessions of the Committee. The Corresponding Secretary shall give all notices required for meetings under these Rules. The Corresponding Secretary shall keep a roster of the names, addresses, email addresses, and phone numbers of all County Committee members. In the event that the Recording Secretary is absent from any meeting of the County Committee or Executive Committee, the Corresponding Secretary shall perform the duties of the Recording Secretary for that meeting.
j. Treasurer: The Treasurer shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. The Treasurer shall have the custody of and responsibility for the funds of the County Party, deposit said funds in a bank or banks to be selected by the Executive Committee, and draw against such in a manner prescribed by the Executive Committee. The Treasurer shall present at each meeting a financial report and shall provide a copy of the report to the Recording Secretary for his records. The Treasurer shall submit the books for audit at the completion of each term of office.
k. Assistant Treasurer: The Assistant Treasurer shall perform other duties assigned by the County Chairman, these Rules, the County Convention, the County Committee, and the Executive Committee. In the absence of the Treasurer, the Assistant Treasurer shall present at each meeting a financial report.
l. At the completion of each term of office, each officer shall turn over all materials, data, correspondence, records, et cetera, to his successor.
3.3 Duties of the Executive Committee
a. The Executive Committee shall execute the duties assigned to it by the County Committee and report the results to the County Committee for consideration.
b. No member of the Executive Committee shall be a candidate in a contested primary election. Any member of the Executive Committee running in a contested primary shall resign his County Committee office immediately upon qualification for office by the second candidate in the primary. A primary is presumed to exist when two or more Republicans have qualified their candidacy for a particular office.
Article IV Elections of Committees and Officers
4.1 Qualifications
All candidates for positions of County Committee Offices mentioned in Article II, Section 2, Subsections a-k, , must meet the requirements of Article I and must have voted in at least one of the two immediate past Republican primary elections.
4.2 Precinct Committeemen
Each precinct shall be entitled to one delegate and one alternate to the County Convention and further it shall be entitled to one additional delegate for each 50 votes and major fraction thereof cast for the Republican nominee for President of the United States in the immediately preceding general election. At the Precinct Mass Meeting, each precinct shall elect the allotted number of delegates to the County Convention along with a Precinct Chairman and other officers it deems necessary. An Alternate Delegate shall be named for each Delegate, if possible.
4.3 County Committee Officers
The County Chairman, Vice, DF, DPR, DM, DCA, DPO, Recording Secretary, Corresponding Secretary, Treasurer, and Assistant Treasurer shall be elected at the County Convention held in accordance with procedures set forth in the Rules of the Georgia Republican Party as adopted by the most recent State Committee and in accordance with any amendments thereto that may be hereafter adopted. Voting shall be held by a paper ballot within a caucus of the precinct Delegates, where after the Precinct Chairman shall count and publicly announce to the County Convention Chairman the results of the voting. If a position is uncontested, the County Convention Chairman may ask for consent of the County Convention to declare the uncontested candidate the winner without holding an election for the office. All candidates must meet the qualifications set forth within these Rules.
4.4 Terms of Office
The officers of the County Committee shall serve in their posts for two years, until their successors are elected, or until they are removed by a 2/3 vote of a quorum present at a legally constituted meeting of the County Committee.
4.5 Legally Constituted Meetings
a. A legally constituted meeting of the County Committee must meet the following requirements:
1. A majority of the Committee must be present in person or by proxy.
2. At least seven (7) days prior written or electronic notice must have been provided to every officer and member of the Committee.
3. Said written or electronic notice must have been issued over the signature of the County Chairman or over the signatures of at least five (5) officers and/or members of the Committee.
4. Said written or electronic notice must contain, in the same envelope or attached to the electronic communication, a proper proxy form. No individuals may have more than two (2) proxies. All proxies shall be in the following form:

4.6 Vacancies on the County Committee
a. Within thirty (30) days upon the death, resignation, election to public office, or removal of the County Chairman, the Vice shall immediately call a legally constituted meeting of the County Committee, which meeting shall in open nomination by a majority vote elect a new County Chairman. The Vice acts as, and shall be, the County Chairman until a new County Chairman is elected.
b. All County Committee officer vacancies, created by death, resignation, election to public office, or removal, shall be filled within forty-five (45) days as prescribed in these Rules. In cases where the privilege of nomination is assigned to any officer or committee the County Committee may convene to elect the officer to fill the remainder of the unexpired term.
4.7 Removal of Officers or Committee Members
Any officer may be removed for cause in accordance with State Rules. “Cause” as used herein, shall include, but not be limited to, continued failure to perform their duties or participate in the affairs of the Party, or conduct detrimental to the best interest of the Party, all as may be determined by the aforesaid vote of the County Committee.
4.8 Procedure for Removal of Officers or Committee Members
Any officer or member of a County or Precinct Committee may be removed from office for cause by a 2/3 vote of a quorum present the County Committee. Removal may be for conduct detrimental to the Party as determined by the County Committee. A petition for removal may be presented to the County Committee upon signature of three (3) active members of the County Committee. Said petition shall contain the name of the person for whom removal is sought, the conduct alleged to be detrimental to the party, a request for hearing, a list of any witnesses to be brought before the County Committee at any subsequent hearing, and any other relevant information necessary for a full consideration of the petition. Upon receipt of the petition, the Chairman shall call a special meeting of the County Committee for consideration of the petition. Said meetings shall be held within fifteen (15) days of receipt of the petition. Said petition must be given to the person for whom removal is sought no less than ten (10) days prior to the hearing. The petitioners shall have first opportunity to present information in support of the petition. The person for whom removal is sought shall have full opportunity to present any relevant information in their defense. At the close of the presentation of information, and after full private deliberation, the County Committee shall take a vote on the petition. Upon 2/3 vote of a quorum present, the petition shall pass or fail. If the Committee votes in favor of the petition, the person for whom removal is sought shall be deemed immediately removed from office and said office shall be deemed vacant.
Article V General Rules
5.1 Rules of Order
Except as modified by these Rules or State Rules, all meetings of the Floyd County Republican Party, and Committees thereof, shall be conducted in accordance with the most recent addition of Robert’s Rules of Order. The Rules of the Georgia Republican Party shall control when in conflict with these Rules.
5.2 Amendments to these Rules
These Rules may be amended at any County Convention by a majority vote of those present, or by the County Committee itself by a two thirds (2/3) vote of a quorum present. If a Rule is sought to be amended by the County Committee, notice of such proposed rules change must be mailed at least twelve (12) days prior to the meeting of the County Committee to all members of the Committee setting forth the intention to amend such Rules and setting forth in detail the proposed amendment.
5.3 Effective Date
These Rules shall become effective upon their adoption. In accordance with Section 34-905 (C), Georgia Election Code which provides that the respective County Executive Committee of each political party shall file its Rules with the Judge of the Probate Court of the County.
This certifies that the forgoing Rules of the Floyd County Republican Party were adopted by the Convention of the Floyd County Republican Party on March 24, 2007, and last amended on March 12, 2011.
